Terms & Conditions

1. Acceptance of Terms

By accessing this website, placing an order, accepting a quotation or proforma invoice, making payment, receiving delivery, installing machinery, or using any machinery, the customer agrees to be legally bound by these Terms and Conditions.

Purchase, payment, delivery, installation, or use of machinery shall constitute full and final acceptance of these terms.

If the customer does not agree, they must not purchase or use the machinery.


2. Nature of Sale

All machinery is sold strictly on a commercial and industrial basis and is manufactured as per customer requirements and specifications.

  • Goods once sold shall not be returned, exchanged, or cancelled.
  • Orders once confirmed cannot be cancelled.
  • All transactions are treated as business-to-business (B2B) commercial transactions.

3. Custom Manufacturing and Non-Refundable Advance

All machinery is custom manufactured and made to order.

Advance payment is used for procurement of raw materials, labour, production planning, and manufacturing.

Therefore:

  • Advance payment is strictly non-refundable.
  • Cancellation after order confirmation is not allowed.
  • Advance shall be treated as production and administrative cost.

In case of cancellation by the customer, the advance amount shall not be refunded under any circumstances.


4. Balance Payment and Forfeiture

Once the machine is ready and the customer is informed:

  • Balance payment must be cleared within 30 days.
  • Delivery must be taken within 30 days.

If payment is not cleared within 30 days:

  • Order shall be treated as abandoned.
  • Advance amount shall be forfeited.
  • Supplier may resell or dispose of the machine.
  • Supplier shall not be liable for any loss.

The forfeited amount shall be treated as:

  • Production cost
  • Storage cost
  • Administrative expenses
  • Working capital blockage
  • Business loss

If the customer later requests the same machine:

  • It shall be treated as a fresh order.
  • New market rates shall apply.
  • Storage and damage charges may apply.
  • Supplier reserves the right to accept or reject the order.

5. Applicability of Terms

These Terms and Conditions apply to:

  • All invoices
  • All quotations
  • All proforma invoices
  • All deliveries
  • All installations
  • All commercial transactions

Issued on or after 1 April 2023.

All customers shall be deemed to have accepted these terms through payment, delivery, installation, or usage.
Website Terms and Conditions form an integral part of every transaction.


6. No Explicit Warranty

All machinery is supplied on an “as-is” and “as available” basis.

No explicit or implied warranty is provided unless clearly mentioned in writing on the final invoice or signed agreement.

Supplier does not provide:

  • Performance warranty
  • Production guarantee
  • Output guarantee
  • Business or profit guarantee
  • Fitness guarantee

Only written terms shall apply. No verbal commitments shall be binding.


7. Installation and Intended Purpose Proof

Installation shall be carried out after site readiness by the customer.

After installation and trial, the following shall be treated as final proof:

  • Video recording
  • Installation report
  • Trial confirmation
  • Written acceptance

After confirmation, the machine shall be deemed accepted and satisfactory.
No performance claims shall be entertained thereafter.


8. Installation Conditions

Customer must provide:

  • Proper electrical supply and voltage
  • Trained operator
  • Raw materials
  • Installation space
  • Labour and support staff
  • Safe working environment

If conditions are not met:

  • Installation may be postponed or stopped.
  • If not arranged within 30 days, installation obligation shall lapse and future installation shall be chargeable.

Supplier is not responsible for delays due to site conditions.


9. Operator Requirement

A trained operator must be present during installation and operation.

If not:

  • Installation may be refused
  • Trial may be stopped
  • Performance claims shall not apply

Operator-related issues shall not be treated as manufacturing defects.


10. Consumables and Wear & Tear

The following are consumables and not covered under warranty:
flute rolls, rubber rolls, lamination rolls, shafts, motors, heaters, adaptors, fingers, carbons, heating rods, gears, belts, bearings, wiring, electrical components, rollers, cutters, switches, contactors, relays, and similar items.

Failures due to usage, friction, heat, load, or environment are not defects.
Replacement shall be chargeable.


11. Operator Negligence and Maintenance

Supplier is not responsible for damage due to:

  • Lack of maintenance
  • Improper lubrication
  • Overloading
  • Voltage issues
  • Misuse or negligence
  • Accidents or poor handling

All claims shall stand forfeited in such cases.


12. Alteration or Tampering

If the machine is modified or tampered with:

  • Service obligations shall stop
  • Warranty claims shall end
  • Supplier shall not be liable

Repairs shall be chargeable.


13. 30-Day Acceptance Rule

If no written complaint is made within 30 days:

  • Machine shall be deemed accepted
  • Machine shall be considered working properly

Complaints after 30 days shall not be treated as manufacturing defects.


14. Third-Party Commitments

Supplier is not responsible for promises made by dealers, agents, brokers, or consultants.
Only written terms shall apply.


15. Service and Support

Service shall be provided on a commercial basis.

Supplier may refuse service in case of:

  • Abuse or harassment
  • Non-cooperation
  • Non-payment

Service visits may be chargeable.


16. Payment Terms

Payment must be made as per invoice terms.

Delay may result in:

  • Service stoppage
  • Legal recovery
  • Interest charges

Ownership remains with supplier until full payment is received.


17. Limitation of Liability

Supplier shall not be liable for:

  • Production or business loss
  • Labour or raw material loss
  • Downtime or profit loss
  • Indirect or consequential damages

Maximum liability is limited to invoice value.


18. Force Majeure

Supplier is not responsible for delays due to:
natural disasters, transport issues, government restrictions, strikes, war, pandemics, or supply chain disruptions.


19. Final Binding Terms

Website, invoice, quotation, and installation terms shall be final and binding.


20. Dispute Resolution

Disputes shall first be resolved mutually.
If unresolved, legal action may be taken.

Jurisdiction: Punjab only.


21. Legal Validity

These Terms are governed by Indian laws including:

  • Indian Contract Act
  • Sale of Goods Act

If any clause is invalid, others remain enforceable.


22. Final Acceptance

Purchase, payment, delivery, installation, or usage means:

  • Customer has read, understood, and accepted these Terms
  • Customer agrees to be legally bound

These Terms form a binding commercial agreement.


Detailed Terms and Conditions available on the website form an integral part of the invoice and are deemed accepted by the buyer.
